1. DEFINITIONS
1.1 “Company” means Cambridge Door Services Ltd.
1.2 “Customer” means any individual or business purchasing Goods or Services.
1.3 “Goods” means doors, shutters, components, automation systems, and associated products.
1.4 “Services” means installation, repair, maintenance, servicing, and call-out works.
1.5 “Bespoke Products” means made-to-measure or custom-manufactured items.

2. BASIS OF CONTRACT
2.1 All quotations and works are subject to these Terms & Conditions.
2.2 Contract acceptance occurs when the Customer:
Signs the quotation,
Confirms via email/writing,
Pays a deposit, or
Instructs works to commence.
2.3 Customer terms shall not apply unless agreed in writing by a Director.

3. SALES PROCESS
3.1 Enquiries may be received via:
Telephone
Website
Email
Site visits
3.2 The Company shall issue:
Written quotation, or
Schedule of Rates (for unknown works / reactive call-outs).
3.3 Quotations remain valid for 30 days unless stated otherwise.
3.4 Variations requested after acceptance may affect:
Price
Lead time
Installation schedule

4. PAYMENT TERMS
4.1 Account Customers
Payment due 30 days from invoice date.
Late payments may incur statutory interest + recovery costs.
4.2 New / Non-Account Customers
As all products are bespoke:
50%–100% deposit required before manufacture.
Balance payable upon completion / prior to handover.
4.3 Emergency / Call-Out Works
(New policy)
Call-out fee payable in advance.
Additional labour/parts added to job cost.
Full balance due immediately on completion.
Company reserves the right to suspend works for non-payment.

5. PRICING
5.1 All prices exclude VAT unless stated.
5.2 Prices may be revised where:
Site conditions differ from survey,
Structural works are required,
Customer specification changes occur,
Delays outside Company control arise.
5.3 The Company reserves the right to adjust prices to reflect increases in material, labour, supplier, or transportation costs arising after quotation acceptance. The Customer will be notified in writing of any such change.

6. DELIVERY & INSTALLATION
6.1 Delivery and installation dates are estimates only.
6.2 The Company shall not be liable for delays caused by:
Manufacturers / suppliers
Transport issues
Weather
Site readiness
Access restrictions
Force majeure events
6.3 Customer must ensure:
Clear site access
Adequate power supply
Structural suitability
Safe working environment
6.4 Additional costs may apply where installation cannot proceed on arrival.

7. WARRANTIES
7.1 New Installations / New Products
12 months parts & labour warranty from handover.
Subject to:
Fair usage
Normal wear & tear
Adherence to operating handbook
Required servicing/maintenance
7.2 Repair Works
12-month warranty limited to new parts installed only.
Does not cover pre-existing faults or unrelated failures.
7.3 Warranty Exclusions
Warranty void where damage arises from:
Misuse or negligence
Vehicle impact
Lack of maintenance
Third-party interference
Unauthorised modifications
Power supply faults

8. CANCELLATIONS & REFUNDS (GENERAL BUSINESS)
8.1 Bespoke Products (Installed by Company)
Cancellation within 1 working day of order → Full refund.
After this period → Costs incurred may be deducted.
8.2 Off-the-Shelf Parts
Cancellation within 1 working day → Full refund.
Parts must not have been ordered/shipped.
8.3 After Manufacture
As goods are bespoke, cancellation may incur:
Manufacturing costs
Supplier charges
Design/engineering time
Refunds will be net of these costs.

9. TITLE & RISK
9.1 Goods remain Company property until paid in full.
9.2 Risk transfers upon delivery or installation completion.
9.3 Company may recover unpaid goods where lawful.

10. LIMITATION OF LIABILITY
10.1 Company liability limited to contract value.
10.2 Company not liable for:
Loss of profit
Business interruption
Consequential losses
Third-party damages
Nothing excludes liability for death/personal injury caused by negligence, or for any liability which cannot be excluded by law.

11. HEALTH & SAFETY
Customer must ensure compliance with:
Site H&S regulations
CDM requirements (where applicable)
Safe access equipment provision
Additional charges apply for compliance delays.

12. FORCE MAJEURE
Company not liable for failure/delay due to:
Acts of God
War / civil unrest
Pandemics
Supply chain failure
Government restrictions
Extreme weather
Industrial disputes or labour shortages
Power outages or utility failures
Time for performance shall be extended accordingly.

13. GOVERNING LAW
These Terms are governed by the laws of England & Wales.
Disputes subject to the exclusive jurisdiction of English courts.

14. REMOTE / ARMS-LENGTH / ONLINE SALES
14.1 This section applies where sales are conducted without face-to-face contact, including:
Website orders
Email orders
Telephone orders
Supply-only online platforms
14.2 Customers are responsible for ensuring all measurements, specifications, and site details provided are accurate.
14.3 The Company shall not be liable for errors arising from incorrect information supplied by the Customer.
14.4 refund Policy ; Cancellation within 1 working day of order → Full refund. All Products are Bespoke and therefore cannot be refunded once the order in is the Factory System

15. SALES PROCESS (SUPPLY-ONLY / ONLINE)
15.1 Customers may configure and order products via the Company’s websites and digital platforms.
15.2 By proceeding past the “Full Information” / specification stages, the Customer confirms:
They have reviewed technical data
Installation requirements are understood
Structural suitability has been assessed
15.3 Technical guidance provided by the Company is advisory only unless a paid survey has been conducted.

16. SITE RISK & PRE-ORDER ASSESSMENT
Warranty and product suitability for supply-only doors are conditional upon:
Site risk assessment being carried out prior to ordering
Structural opening being suitable
Adequate lintel support
Correct headroom and sideroom clearances
Level installation surface
Failure to meet these conditions voids warranty.

17. INSTALLATION COMPLIANCE (SUPPLY-ONLY)
Where the Company does not install the product:
17.1 The Customer / third-party installer must ensure:
Full adherence to installation manual
Correct levelling and alignment
Manufacturer clearances achieved
Correct fixings used
Electrical compliance certified
17.2 The Company accepts no liability for:
Incorrect installation
Structural inadequacy
Safety device mis-wiring
Automation setup errors

18. WARRANTY – SUPPLY-ONLY DOORS
18.1 The Company provides 12-month parts-only warranty from delivery date.
18.2 Warranty subject to:
Verified site risk assessment
Installation manual compliance
Level installation
Correct clearances
Fair usage
18.3 Drive systems must operate within maximum cycle ratings per hour.
18.4 Warranty excludes:
Labour costs
Installation rectification
Access equipment
Third-party contractor costs
Replacement parts supplied on return-to-base basis.

19. DESIGN & TECHNICAL SERVICE LEVELS
(Basic Service / Remote Design Support)
19.1 A design service deposit of £200 + VAT applies to certain supply-only door projects.
19.2 This covers:
Technical drawings
Door design configuration
Engineering checks
Structural compatibility review

20. DESIGN SERVICE CANCELLATIONS
20.1 Once design work has commenced, the £200 + VAT deposit is non-refundable.
20.2 Exception:
Where it is determined that the door physically cannot be incorporated into the building structure despite correct information being provided.
20.3 The Company will make reasonable efforts at early service levels (Levels 1–2) to eliminate incompatibility risk.

21. ADVANCED SERVICE LEVEL CANCELLATIONS
21.1 Where projects reach advanced stages (Levels 5–6):
Door manufactured / ordered
Supplier payments made
21.2 Cancellation permitted within 1 working day of order placement.
21.3 The Company will retain:
£200 + VAT design deposit
Any unrecoverable supplier/manufacturing costs

22. DISTANCE SELLING REGULATIONS
22.1 Consumer customers purchasing remotely may have statutory cancellation rights under the Consumer Contracts Regulations.
22.2 However, exemption applies to:
Bespoke / made-to-measure goods.
As all doors are manufactured to Customer specification, standard 14-day cooling-off rights do not apply once manufacture begins.

23. DELIVERY (SUPPLY-ONLY)
23.1 Delivery dates are estimates only.
23.2 The Company is not liable for delays caused by:
Manufacturers
Import/customs delays
Courier networks
Transport damage
Force majeure
23.3 Customer must ensure:
Offloading facilities available
Forklift / lifting equipment where required
Safe storage on delivery
Failed delivery may incur redelivery charges.

24. DAMAGE IN TRANSIT
24.1 Customers must inspect goods immediately upon delivery.
24.2 Any damage or shortages must be:
Noted on delivery receipt, and
Reported within 24 hours.
24.3 Failure to report within this period may invalidate claims.

25. RETURNS (SUPPLY-ONLY)
25.1 Bespoke goods are non-returnable.
25.2 Returns accepted only where:
Goods are defective, or
Incorrectly supplied.
25.3 Approved returns must be:
Unused
In original packaging
Returned at Customer cost (unless faulty).

26. STORAGE & ABORTIVE COSTS
Where delivery/installation is delayed by the Customer:
Storage charges may apply
Redelivery costs chargeable
Additional site visits chargeable

27. TECHNICAL DISCLAIMERS
27.1 Product images, drawings, and renders are illustrative.
27.2 Colours may vary due to manufacturing tolerances.
27.3 Automation performance may vary based on usage environment.

28. CYBER / WEBSITE LIABILITY
28.1 The Company does not guarantee uninterrupted website availability.
28.2 Customers must verify order details before submission.

29. INTELLECTUAL PROPERTY & DESIGN RIGHTS
29.1 All drawings, technical designs, calculations, specifications, and documents produced by the Company remain its intellectual property.
29.2 These may not be:
Copied
Shared with third parties
Used for alternative manufacture
Reproduced for competitive tendering
without written consent.
29.3 Where design services have been paid for, this grants usage rights for the specific project only — not ownership of design IP.

30. DATA PROTECTION & GDPR
30.1 The Company processes Customer data in accordance with UK GDPR and the Data Protection Act 2018.
30.2 Data may include:
Contact details
Site addresses
Payment records
Order history
30.3 Data is used solely for:
Contract fulfilment
Warranty records
Service scheduling
Legal compliance
30.4 Data is not sold to third parties but may be shared with:
Manufacturers
Couriers
Installation partners
where operationally necessary.

31. CREDIT ACCOUNT FACILITIES
31.1 Credit accounts are offered at the Company’s discretion.
31.2 The Company reserves the right to:
Withdraw credit terms
Reduce credit limits
Require pro-forma payments
without notice where risk is identified.
31.3 Persistent late payment may result in account suspension.

32. SUSPENSION OF WORKS
The Company reserves the right to suspend or delay works where:
Payments are overdue
Site conditions are unsafe
Customer fails to provide access
Required information is withheld
Any resulting costs shall be chargeable.

33. RETENTION OF TITLE
33.1 Legal title of all Goods remains with the Company until paid in full.
33.2 Until title passes, the Customer must:
Store goods separately
Maintain goods in good condition
Not resell or alter goods
33.3 The Company may enter premises (lawfully) to recover unpaid goods.
33.4 Where Goods are resold prior to title passing, the proceeds of such sale shall be held in trust for the Company and accounted for in full until all sums due have been paid.

34. LIMITATION OF LIABILITY
34.1 The Company’s total liability shall not exceed the contract value.
34.2 The Company shall not be liable for:
Loss of profit
Loss of contracts
Business downtime
Loss of revenue
Reputational damage
Third-party claims
34.3 No liability for consequential or indirect losses.
34.4 Nothing excludes liability for:
Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation

35. PRODUCT COMPLIANCE & REGULATIONS
35.1 Doors and automation systems are supplied in line with applicable UK / EU standards where specified.
35.2 Compliance becomes void where:
Products are modified
Safety devices removed
Installation deviates from guidance
35.3 Responsibility transfers to installer where Company is not the installer.

36. MAINTENANCE & SERVICE REQUIREMENTS
36.1 Warranty validity may depend on routine servicing.
36.2 The Company recommends:
Annual servicing minimum
Higher frequency for high-cycle doors
36.3 Failure to maintain may void warranty claims relating to wear or mechanical failure.
36.4 Servicing must be carried out by a qualified engineer in line with manufacturer guidelines.

37. ACCESS EQUIPMENT & WORKING AT HEIGHT
37.1 Quotations assume standard access.
37.2 Additional charges apply where specialist equipment required, including:
MEWPs
Scaffolding
Crane lifting
Traffic management

38. ASBESTOS / HAZARDOUS MATERIALS
38.1 The Customer must disclose presence of hazardous materials- make ACM records available.
38.2 Works will cease immediately if discovered.
38.3 Removal and compliance costs remain Customer responsibility.

39. INSURANCE
39.1 The Company maintains Public Liability insurance.
39.2 Customers must insure:
Stored goods
Part-completed works
Site risks outside Company control

40. INDEMNITY
The Customer shall indemnify the Company against:
Third-party claims arising from Customer specifications
Structural failures
Unsafe site conditions
Non-compliant installations (supply-only)

41. TERMINATION
The Company may terminate contract where:
Payment default occurs
Insolvency risk identified
Customer obstructs performance
Abuse or unsafe conduct occurs
Costs incurred up to termination remain payabl

42. DISPUTE RESOLUTION
42.1 Parties shall attempt good-faith negotiation first.
42.2 If unresolved, disputes may proceed to:
Mediation, then
Courts of England & Wales

43. SEVERABILITY
If any clause is deemed unenforceable, remaining clauses remain valid.

44. ENTIRE AGREEMENT
These Terms override all prior discussions, representations, or agreements unless confirmed in writing.

45. ACCEPTANCE OF TERMS
45.1 By proceeding with any order, quotation acceptance, deposit payment, or instruction to commence works, the Customer confirms that they have:

Agreed to be bound by them in full
45.2 Acceptance may be evidenced by:
Signed quotation
Email confirmation
Purchase order
Deposit payment
Instruction to proceed

46. VARIATION OF TERMS
46.1 The Company reserves the right to amend these Terms & Conditions at any time.
46.2 Updated versions will apply to all new contracts issued after the revision date.
46.3 Customers are advised to review Terms periodically via the Company website or quotation documents.

47. NOTICES
47.1 Any formal notice required under these Terms must be made in writing.
47.2 Notices may be served via:
Email
Recorded post
Company registered address

48. EFFECTIVE DATE
These Terms & Conditions apply to all contracts, sales, and services undertaken from:
